J&R Roofing Ltd – Terms and Conditions of Business

1. Introduction

These Terms and Conditions (“Terms”) apply to all quotations, contracts, and works carried out by J&R Roofing Ltd (“we”, “our”, or “us”) for our clients (“you” or “the client”).

By accepting a quotation, placing an order, or allowing work to proceed, you agree to be bound by these Terms unless otherwise agreed in writing.

3. Scope of Works

All works will be carried out as detailed in our written quotation and in accordance with the manufacturer’s installation guidelines and current industry standards.
Any additional works requested or required beyond the agreed scope will be subject to a separate quotation or variation order and may affect the completion date and final cost.

4. Quotations and Pricing

  • All quotations are valid for 30 days from the date issued unless otherwise stated.

  • All prices are exclusive of VAT unless clearly specified.

  • Quotations are based on information available at the time of issue. Any unforeseen circumstances, access restrictions, or additional work required will be charged accordingly.

  • Any changes to project scope must be agreed upon in writing before additional work begins.

5. Acceptance of Quotation

A quotation becomes a binding contract when written acceptance is received or when work commences following approval (verbal or written).
Once accepted, the client authorises J&R Roofing Ltd to proceed with the agreed works and to purchase materials as necessary.

6. Payment Terms

  • Payment terms will be as stated on our invoice or quotation.

  • Invoices are due for payment within 7 days of issue unless otherwise agreed in writing.

  • Late payments may incur interest at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

  • Ownership of materials supplied remains with J&R Roofing Ltd until full payment has been received.

  • We reserve the right to suspend works if payment terms are not met.

7. Variations

Any variation or addition to the agreed works must be confirmed in writing and may affect the project timeline and overall cost.
We will not proceed with additional works until written approval or instruction is received.

8. Access and Site Conditions

  • The client must ensure safe and reasonable access to the site for personnel, materials, and equipment.

  • The client is responsible for ensuring the working area is clear and suitable prior to commencement.

  • Any delays caused by restricted access, other trades, or site conditions beyond our control may result in additional charges.

  • Welfare facilities and skip hire for waste removal are to be provided by others unless otherwise stated.

9. Health & Safety

All work will be carried out in compliance with the Health and Safety at Work Act 1974, relevant regulations, and site safety requirements.
Our operatives are fully trained, hold valid CSCS cards, and have relevant safety certifications including Working at Heights, Manual Handling, Asbestos Awareness, and SSSTS.

10. Materials and Workmanship

  • All materials will be new, fit for purpose, and installed in accordance with manufacturer guidelines.

  • We use only approved suppliers and systems (e.g., Danosa, Bauder, or other specified manufacturers).

  • Once completed, the roof will meet the performance requirements stated in the specification.

  • Minor colour or texture variations may occur and do not constitute a defect.

11. Warranties

J&R Roofing Ltd provides workmanship warranties as agreed in the quotation or contract.
Manufacturer warranties for roofing systems are subject to registration and approval by the manufacturer upon completion.
Warranties may be void if:

  • Subsequent alterations or damage occur by others.

  • Maintenance or drainage is neglected.

  • Unauthorised repairs are carried out.

12. Delays and Force Majeure

We will make every effort to complete works within the agreed timeframe; however, we are not liable for delays caused by:

  • Adverse weather conditions

  • Late delivery of materials

  • Access restrictions

  • Acts of God, fire, flood, or other events beyond our control

Where such delays occur, completion dates may be reasonably extended.

13. Liability

  • J&R Roofing Ltd shall not be liable for any indirect or consequential losses arising from delay, defect, or non-performance.

  • Our total liability under any contract shall not exceed the total contract value.

  • We accept no liability for damage caused by pre-existing defects or works carried out by others.

14. Complaints

We take all complaints seriously. Any concerns should be raised in writing as soon as possible and will be handled in accordance with our Complaints Policy.
We aim to resolve all matters promptly and professionally.

15. Termination

Either party may terminate the contract in writing if:

  • The other party commits a serious breach and fails to remedy it within 14 days.

  • The client becomes insolvent or ceases trading.

  • Payment terms are not met.

Upon termination, the client shall pay for all completed works, materials, and costs incurred to date.

16. Data Protection

J&R Roofing Ltd processes all personal data in compliance with the UK GDPR and our Privacy Policy, available on request or via our website.

17. Governing Law

These Terms and any disputes arising from them shall be governed by the laws of England and Wales.
Both parties agree to submit to the exclusive jurisdiction of the English courts.
